1. Acceptance of Terms

LegacyBridge is operated by SIA VisionBridge, a company registered in the Republic of Latvia (registration No. 40203641390), with its registered office at Avotu iela 54B, Rīga, LV-1009, Latvia ("LegacyBridge", "we", "us"). By accessing or using LegacyBridge services, you agree to be bound by these Terms of Service. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these terms. We may ask you to re-affirm your acceptance when these terms are materially updated; continued use after the effective date constitutes acceptance.

2. Service Description

LegacyBridge provides AI-powered automation services for legacy system integration, including terminal emulation, document processing, and workflow automation. Services are provided "as is" and may be modified or discontinued at our discretion.

3. Eligibility & Account Responsibilities

  • You must be at least 18 years old and able to form a binding contract
  • You are responsible for maintaining the security of your account credentials
  • You must provide accurate and complete information during registration
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized access

4. Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the service or its infrastructure
  • Reverse engineer, decompile, or disassemble the service
  • Resell or redistribute the service without authorization

5. Automation & Customer Responsibilities

LegacyBridge operates an AI agent that interacts with and performs actions on your legacy systems based on configuration, instructions, and credentials you provide. You acknowledge and agree that:

  • You authorize LegacyBridge to access and operate the systems you connect, and you confirm you have the right to grant that access
  • You are responsible for reviewing, supervising, and approving automated actions and their results
  • You will maintain independent backups and appropriate controls for systems and data the service interacts with
  • Automated processing and AI-generated output may contain errors; the service is not warranted to be error-free, and you are responsible for validating outcomes before relying on them
  • You remain responsible for compliance with laws and third-party agreements governing the systems you automate

6. Customer Data & License

You retain ownership of the data, documents, and content you submit or that the service processes on your behalf ("Customer Data"). You grant LegacyBridge a limited, non-exclusive license to host, process, transmit, and display Customer Data solely as necessary to provide, maintain, secure, and improve the service. Our handling of personal data is described in our Privacy Policy.

7. Intellectual Property

LegacyBridge and its licensors retain all rights to the service, including all software, documentation, and proprietary technology. Except for the rights expressly granted to you, no rights are transferred. You retain ownership of your data and grant us a limited license to process it as necessary to provide the service.

8. Confidentiality

Each party may access the other's confidential information in connection with the service. The receiving party will use it only to perform under these terms and will protect it with at least reasonable care. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law.

9. Third-Party Services & Subprocessors

The service relies on third-party providers to operate. By using the service you acknowledge that Customer Data may be processed by subprocessors under appropriate data-processing agreements, including:

  • Anthropic (Claude) and Google (Gemini) — AI inference
  • Hetzner Online (Germany) — compute and database hosting
  • Cloudflare — document storage (R2), content delivery, and network security
  • Tailscale — secure connectivity to your systems
  • Resend — transactional email
  • Stripe — payment processing

We are not responsible for the availability, performance, or acts of third-party providers, and their own terms may apply to their components.

10. Trial & Beta Features

Free trials and features designated as beta, preview, or experimental are provided "as is" without warranty or service-level commitment, and may be changed or discontinued at any time. We may use feedback you provide about such features without restriction or obligation to you.

11. Payment Terms

  • Fees are as specified in your service agreement or order form
  • Payment is due within 30 days of invoice unless otherwise agreed
  • Late payments may incur interest at 1.5% per month
  • All fees are non-refundable unless otherwise stated
  • Fees are exclusive of taxes, which are your responsibility where applicable

12. Service Availability

We use commercially reasonable efforts to keep the service available but do not guarantee uninterrupted or error-free operation unless a separate service-level agreement applies. We may perform maintenance, and may suspend the service where necessary to protect security or integrity.

13. Warranties & Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED OUTPUT OR AUTOMATED ACTIONS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSES.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGACYBRIDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless LegacyBridge from any claims, damages, or expenses arising from your use of the service, violation of these terms, or infringement of any third-party rights.

16. Term & Termination

Either party may terminate the service agreement with 30 days written notice. We may suspend or terminate your access immediately for violation of these terms. Upon termination, your right to use the service ceases and we may delete your data after a 30-day grace period.

17. Modifications to These Terms

We may update these terms from time to time. The "Last updated" date below indicates the current version. For material changes we will provide reasonable notice and may require you to re-accept the updated terms before continuing to use the service. Your continued use after the effective date constitutes acceptance.

18. Governing Law

These terms are governed by the laws of the Republic of Latvia, without regard to conflict of law principles. The courts of Latvia have exclusive jurisdiction over any dispute arising out of or relating to these terms, without prejudice to any mandatory consumer-protection rights you may have under the laws of your country of residence.

19. General

  • Force Majeure: neither party is liable for delays or failures caused by events beyond its reasonable control
  • Assignment: you may not assign these terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets
  • Severability: if any provision is unenforceable, the remaining provisions stay in effect
  • Waiver: failure to enforce a provision is not a waiver of it
  • Entire Agreement: these terms, together with any order form or service agreement, are the entire agreement between the parties
